Terms of Service

Welcome to First Eat. These Terms of Service ("Terms") govern your access to and use of the First Eat website and mobile application (collectively, the "Service"), provided by Valoir Agency Inc. ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Use of the Service

1.1 Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.

1.2 Early Access and Beta Features

If you register for early access or beta features, you acknowledge that these services are still in development. Early access registration does not guarantee immediate access to the Service. We reserve the right to limit the number of users and to change, suspend, or discontinue any aspect of the Service at any time without notice.

1.3 User Accounts

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

2. Orders and Pickup

2.1 Placing Orders

When you place an order through the Service, you are making an offer to purchase the items you have selected from the Restaurant Partner. We will send you an email or notification confirming receipt of your order.

2.2 Pickup

You are responsible for picking up your order at the designated Restaurant Partner location within the specified pickup window. If you fail to pick up your order, you will not be refunded.

2.3 Alcohol

If your order includes alcohol, you must present a valid government-issued photo ID verifying that you are of legal drinking age upon pickup. The Restaurant Partner reserves the right to refuse service if you cannot provide valid ID or appear intoxicated.

3. Payments and Refunds

3.1 Pricing

Prices for items are displayed on the Service. While we try to ensure accuracy, errors may occur. We reserve the right to correct any errors in pricing.

3.2 Refunds

Because our Restaurant Partners prepare food specifically for you, orders cannot be cancelled once confirmed by the restaurant. Refunds may be granted at our sole discretion for issues such as missing items or food quality complaints, subject to verification.

4. User Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, provincial, national, or international law.
  • Harass, threaten, or defraud users or Restaurant Partners.
  • Interfere with or damage the Service, including through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information, or similar methods or technology.

5. Limitation of Liability

Platform Role: First Eat acts solely as a technology platform connecting customers and restaurants. We are not a restaurant, food preparation entity, or delivery service. Restaurants are independent third parties and are solely responsible for food preparation, quality, safety, and compliance with all applicable laws and regulations.

To the fullest extent permitted by law, in no event will Valoir Agency Inc., its affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages, regardless of legal theory, whether or not First Eat has been warned of the possibility of such damages.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not liable for any temporary downtime, service interruptions, or data loss that may occur, particularly during early access or beta phases.

6. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email notification, providing notice through the Service, or updating the "Last Updated" date at the top of these Terms.
